Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and OAT — Offshore Accounting Talent ("OAT," "we," "us," or "our") and govern your access to and use of our website, marketplace, and related services (together, the "Services").
By creating an account, booking a call, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree, do not use the Services.
1. Who We Are and What We Do
OAT operates an online marketplace that helps US businesses discover, evaluate, and connect with offshore accounting professionals (primarily based in the Philippines). We provide profiles, vetting information, and scheduling tools to facilitate introductions and interviews.
OAT is an intermediary that facilitates introductions. We are not an employer of the accounting professionals listed on the platform, we are not a party to any engagement, employment, or service contract you enter into with them, and we do not provide accounting, bookkeeping, tax, audit, or other professional services ourselves.
2. Eligibility and Accounts
To use the Services you must be at least 18 years old and able to form a binding contract. The Services are intended for businesses and the individuals who represent them, not for personal or household use.
When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Our Role in the Marketplace
The Services make it easier to find and connect with accounting talent, but the decision to interview, hire, engage, pay, or work with any professional is entirely yours. Any agreement you reach with a professional is solely between you and that professional.
- We do not guarantee that you will find a suitable candidate, or that any candidate will accept or remain available for an engagement.
- We do not control, supervise, or direct the work of any professional, and we are not responsible for the quality, timeliness, legality, or outcome of work they perform for you.
- You are responsible for your own due diligence, including confirming qualifications, references, and fit before entering into any engagement.
4. Vetting Disclaimer
OAT performs a screening and vetting process on the professionals featured in the marketplace, which may include reviewing experience, skills, software proficiency, and communication. This vetting is intended to help you shortlist candidates more efficiently.
Vetting is not a warranty, certification, or guarantee. "Vetted" means a candidate passed our internal screening at a point in time; it does not guarantee any candidate's performance, accuracy, conduct, credentials, or suitability for your specific needs. You remain solely responsible for your hiring and engagement decisions.
5. No Professional Advice
Content on the Services is provided for general informational purposes only and does not constitute accounting, tax, legal, or other professional advice from OAT. The professionals you engage through the marketplace act independently, and any advice or services they provide are their own and not those of OAT.
6. Bookings and Interviews
We offer scheduling tools (including third-party embedded calendars) so you can book discovery calls and interviews. By booking, you agree to provide accurate scheduling details and to honor or cancel appointments in good faith. Availability shown is subject to change.
7. Fees and Payment
Browsing the marketplace and booking a discovery call are currently provided at no charge. Fees for placements or engagements, where applicable, will be communicated to you directly and agreed in writing before they apply. Any payment terms agreed between you and a professional are separate from these Terms.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose, or to circumvent fees or these Terms.
- Misrepresent your identity, your business, or your authority to act.
- Copy, scrape, harvest, or republish professional profiles, photos, videos, or other content without our written permission.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with their operation or security.
- Contact professionals for purposes unrelated to a genuine hiring interest, or harass, discriminate against, or abuse any user.
9. Intellectual Property
The Services, including our brand, logos, text, design, and software, are owned by OAT or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.
10. Third-Party Services
The Services rely on and may link to third-party tools (for example, scheduling, payment, hosting, and authentication providers). We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any candidate or engagement will meet your expectations.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OAT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR ANY ENGAGEMENT WITH A PROFESSIONAL.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OAT IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless OAT from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your engagement with any professional, or your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or use the Services in a way that could cause harm or legal exposure. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Kansas, and you consent to personal jurisdiction there.
